Terms & Conditions for directory listings

This is a translation for convenience. In case of doubt, the German version prevails.
1. Scope and contracting party
These terms cover every listing of a club, bar or promoter in the sufis-berlin.de directory — both the free basic listing and the paid premium profile.
The provider is Webmagics Ltd., Gladstonos 12-14, 8046 Paphos, Republic of Cyprus. Full provider details are in the imprint.
Our offer is aimed exclusively at businesses (entrepreneurs within the meaning of § 14 German Civil Code). Consumers cannot enter into a premium listing contract. By submitting an enquiry you confirm that you act in the course of your trade, business or profession.
2. Editorial independence
Our guides are editorial content. Whether and in what order a venue is named or recommended is decided by the editorial team alone.
A premium profile gives no entitlement to inclusion in a "best of" list, to a particular ranking position or to favourable coverage. Paid placements are marked as such.
We also name venues without prior enquiry where press and free-speech law permits. Factual errors are corrected promptly on notice, regardless of whether a paid listing exists.
3. Free basic listing
The basic listing is free of charge indefinitely: no fees, no stored payment method, no minimum term. There is no entitlement to inclusion — we may decline or remove listings, in particular where details are plainly incorrect, where there is no connection to Berlin nightlife, or where content is unlawful. You can have a basic listing removed at any time by informal email.
4. Premium profile and formation of contract
The presentation of the premium profile on the pricing page is not a binding offer but an invitation to enquire. There is no instant checkout: after your enquiry we send an individual offer with scope of work and a draft, and the contract is formed only when you accept that offer in text form. Submitting the form does not create any payment obligation.
5. Prices and payment
The premium profile costs €199 net per year. All prices are net and exclude statutory VAT. Billing is annual in advance by invoice, payable in full within 14 days of receipt. In the event of late payment we may suspend the premium features until payment is received; the free basic listing is unaffected.
6. Term and termination
The premium contract runs for twelve months from activation of the profile. Unless terminated with one month's notice to the end of the term, it continues indefinitely and may then be terminated with one month's notice to the end of a calendar month. Termination requires text form; an informal email to kontakt(at)sufis-berlin.de is sufficient. The right to terminate for good cause remains unaffected for both parties. After the premium contract ends, the free basic listing remains in place unless you ask us to delete it.
7. Your content
You warrant that the details, texts, logos and photos you send us are accurate and infringe no third-party rights, in particular no copyright, trade mark or personality rights. You grant us a non-exclusive right, unlimited in time and territory, to use that content to display your listing and to promote the directory. You indemnify us against justified third-party claims arising from a breach of this section, including reasonable legal costs. Please tell us promptly if your details change — especially opening hours, address or closure.
8. Availability
We aim for high availability but do not owe uninterrupted access. Maintenance, internet infrastructure faults and force majeure give rise to no claim for a price reduction as long as total downtime in a billing period does not exceed 48 hours.
9. Liability
We are liable without limitation for intent and gross negligence and for injury to life, body or health. For simple negligence we are liable only for breach of a material contractual obligation, limited to the foreseeable damage typical of this type of contract. Liability is otherwise excluded. Mandatory statutory liability remains unaffected.
10. Data protection
How we process the data submitted with an enquiry or listing is set out in our privacy policy.
11. Changes to these terms
We may change these terms with effect for the future and will notify you in text form at least six weeks before they take effect. If you do not object within six weeks of receipt, the change is deemed accepted; we will point this out separately in the notice.
12. Final provisions
The law of the Republic of Cyprus applies, excluding the UN Convention on Contracts for the International Sale of Goods. Where you are a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is Paphos, Republic of Cyprus. Should any provision be or become invalid, the remaining provisions stay in force.
